Terms of Service

These Terms of Service ("Terms") govern your use of the Yantrix website (yantrix.tech) and any software development services provided by Yantrix ("we," "our," or "us"). By accessing our website or engaging our services, you agree to these Terms.
1. Our Services
Yantrix provides custom software development services including web development, mobile app development, SaaS products, AI solutions, cloud architecture, DevOps, enterprise systems, and UI/UX design. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project agreement or statement of work ("SOW") signed by both parties.
2. Engagement Process
- Projects begin with a discovery call booked through our website via Calendly.
- A formal engagement starts only after both parties agree to and sign a project agreement or SOW.
- The SOW will specify project scope, milestones, deliverables, timeline, and payment terms.
- No work begins until the SOW is signed and any required upfront payment is received.
3. Payment Terms
- All pricing and payment schedules are defined in the project SOW.
- An upfront deposit (as specified in the SOW) is required before work begins.
- Milestone payments are due upon delivery and acceptance of each milestone.
- Invoices are due within 15 days of issuance unless otherwise agreed.
- Late payments may incur a fee of 1.5% per month on the outstanding balance.
- Work on a milestone is non-refundable once that milestone has commenced.
4. Intellectual Property
- Client ownership: Upon full and final payment, the client receives complete ownership of all custom code, designs, and deliverables created specifically for their project as defined in the SOW.
- Pre-existing tools: Yantrix retains ownership of any pre-existing libraries, frameworks, or internal tools used in the project. The client receives a perpetual, non-exclusive, royalty-free license to use these components within their project.
- Open-source: Any open-source software incorporated in the project remains subject to its respective open-source license terms.
- Portfolio rights: Yantrix may reference the project in our portfolio and marketing materials (project name, category, and non-confidential visuals), unless restricted by a signed NDA.
5. Confidentiality
Both parties agree to keep confidential any proprietary information, trade secrets, and technical details shared during the engagement. This includes project specifications, business strategies, codebases, and any information marked as confidential. This obligation survives termination for two (2) years. A separate NDA can be executed upon request before the discovery call.
6. Project Changes
- Any changes to the agreed project scope must be submitted as a written change request.
- Change requests may affect timeline and cost, which will be communicated before work proceeds.
- No out-of-scope work will be performed without written agreement from both parties.
7. Delivery & Acceptance
- Deliverables will be provided according to the timeline in the SOW.
- The client has 7 business days to review each deliverable and provide feedback or approval.
- If no feedback is received within this period, the deliverable is considered accepted.
- A bug-fix period of 30 days is provided after final delivery for issues related to the agreed specifications.
8. Warranties
- We warrant that deliverables will materially conform to the specifications in the SOW.
- We warrant that our work will not knowingly infringe any third-party intellectual property rights.
- We do not warrant that software will be entirely error-free, or that it will meet requirements not documented in the SOW.
- Services are provided "as-is" beyond the scope explicitly defined in the SOW.
9. Limitation of Liability
- Yantrix's total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.
- We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not responsible for issues arising from third-party services, APIs, hosting providers, or integrations outside our control.
10. Termination
- Either party may terminate the engagement with 15 days' written notice.
- Upon termination, the client pays for all work completed up to the termination date.
- Completed deliverables and source code will be handed over upon receipt of final payment.
- Yantrix may terminate immediately if payment is overdue by more than 30 days.
11. Website Use
By using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems or infrastructure
- Reproduce or exploit any portion of the website without written permission
- Transmit malicious code or interfere with the site's functionality
12. Indemnification
The client agrees to indemnify and hold Yantrix harmless from any claims, damages, or expenses arising from: (a) content or materials provided by the client, (b) the client's use of deliverables in violation of applicable law, or (c) any breach of these Terms by the client.
13. Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet or infrastructure outages, or other force majeure events. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.
14. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be settled by binding arbitration in accordance with applicable Indian arbitration laws. These Terms are governed by the laws of India.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
16. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services constitutes acceptance of the updated Terms.
